A carve-out with a penalty clock running.
A divested business unit moved off its parent's ERP and onto its own S/4HANA system before the transition services agreement expired.
Scope
- Shared SAP ECC
- S/4HANA 2022
- 11 plants
- FI · MM · PP · QM
After the TSA date, every day on the parent's system carried a penalty. The buyer's auditors wanted every open item accounted for.
Challenge
The unit's data was interleaved with the parent's in one shared instance. Company codes, plants and vendors were shared. Nobody had a clean list of what belonged to whom.
Approach
We wrote a selection rule for every object and had both legal entities sign each one. Where the rule was ambiguous, the record went to a named decision owner, not a default.
Open items and inventory were reconciled to the cent and to the unit before either side signed.
Outcome
The unit went live inside the TSA window. No open-item dispute was raised between parent and buyer after close.
